Mr. Manchoong Ha works as a foreign partner at the Hanoi office of Bizlink Lawyers & Consultants. Mr. Manchoong Ha has extensive experience advising foreign investors, especially Korean investors doing business in Vietnam on major projects and construction, cross-border mergers and acquisitions, securities, contract negotiations, real estate investments, private equity investments, and corporate restructurings. Before joining the firm, Mr. Ha had several years working as a Special Counsel at Duane Morris and Kelvin Chia partnership at their Vietnam and Singapore offices. He also worked for DR & Aju, a major Korean law firm at its Hanoi office for almost 4 years. Mr. Ha earned an LL.M. in International Business Law from the University of the Pacific in California, U.S.A. He is also a law graduate of Oxford Brookes University in Oxford, U.K. and a graduate in political science of Soongsil University in Seoul, South Korea. He is a qualified lawyer in the New York State, USA. Mr. Ha speaks English and Korean.

Representative works

·         Representing a Korean Chaebol (conglomerate) in the acquisition of a publicly listed Vietnamese company. (Korean company’s first M&A case of a listed local company on Ho Chi Minh stock exchange).

·         Representing a Korean conglomerate in the acquisition of a Vietnamese property Development company.

·         Engaged in the acquisition of the seller’s subsidiaries in Asia including Vietnam, South Korea, Taiwan, Japan, Malaysia and Singapore. These M&A transactions involved the sale of a group of companies engaged in the provision of dialysis and related services in various jurisdictions in Asia.

·         Protecting the interests of a Korean company, vis-ŕ-vis the seller (another Korean company) who wished to assign all of its equity interests in a joint venture enterprise in Singapore. The Korean company also intended to set up a subsidiary and hive off certain business of a JV to the subsidiary upon completion of share purchase.

·         Rendering legal advice to a Korea based property developer and a construction company who intended to establish a joint venture enterprise (“JVE”) in U.A.E in order to construct offices and apartment units for sale and lease in Abu Dhabi, U.A.E.

·         Rendering legal advice to a Korea based property developer and a construction company which entered into the Sale & Purchase Agreement for the sale and purchase of 100 apartment units which were constructed in Kuala Lumpur, Malaysia by a local conglomerate.

·         Representing a US based company in setting up a joint venture company in Korea.

·         Representing a Korean company in the high technology crime case in Singapore.
